主讲人:Jonathan C. Lipson
Jonathan Lipson holds the Harold E. Kohn Chair and is a Professor of Law at Temple University—Beasley School of Law. He teaches Contracts, Bankruptcy, Corporations, Commercial Law, and Lawyering for Entrepreneurship, International Business Transactions, and a variety of other business law courses. His research focuses on problems of governance and information asymmetry in business failure: Who decides how to fix broken companies, and who must reveal what information in order to do so? He has written scores of articles and book chapters considering these questions from a variety of perspectives, focusing in particular on the role of contracting practices, external investigation, and directorial duties.

Academics have long debated whether the order of bankruptcy distributions should be “absolute” or “relative”. Should courts have the flexibility to scramble priority to serve some greater good? The Supreme Court’s recent decision in Czyzewski v. Jevic Holding Corp. (In re Jevic) holds that the answer is “no:” Priority is “absolute,” absent the consent of priority creditors. This lecture is about the decision of the Supreme Court, on the role of “absolute priority” in corporate bankruptcy. Many consider it one of the most important Supreme Court cases on bankruptcy in many years. Professor Lipson participated in the case as counsel to a group of law professors who submitted a brief in support of the winning party, the “petitioners”. He will explain the significance of the Jevic opinion and its implications for corporate reorganization in the United States.
